These terms and conditions apply to the use of this website, including your enquiry to register as a Lead and the addition of your contact details to our database.  In using this website, you agree to be bound by these terms and conditions.  If you do not accept these terms and conditions, you must refrain from using the website.  These terms and conditions must be read in conjunction with any other applicable terms and conditions governing the use of this website.

1. terminology

In these terms and conditions the expressions:

• "we", "us" and "our" are a reference to stoplooking.com.au Pty Ltd (ACN 116 219 115);
• "Lead" means you and each person who registers their interest on this website and who consent to their contact details being sold to a Supplier; and
• "Supplier" means those persons who we accredit to provide goods and services of the kind described on this website and who purchase Leads from this website for the purpose of contacting the Leads to sell them those goods or services.

2. amendments to terms and conditions

   We reserve the right to amend these terms and conditions from time to time.  Amendments will be effective immediately upon notification on this website.  Your continued use of the website following such notification will represent an agreement by you to be bound by the terms and conditions as amended.

3. registration

   In order to be able to be registered as a Lead pursuant to these terms and conditions, you must complete your registration details in the manner described on the website.  Registration is free but non-transferable.

   We reserve the right to terminate your registration at any time if you breach these terms and conditions.

4. your obligations

   By becoming a registered Lead you agree to abide by the following terms and conditions:

   1. you will be responsible for all your dealings with a Supplier;
   2. you will ensure that your contact details are up to date, accurate and not misleading;
   3. you will act honestly and ethically with any Supplier who contacts you regarding the supply of goods or services; and
   4. when requested by us you will inform us as to your level of satisfaction with your dealings with a Supplier, to enable us to monitor the conduct of Suppliers and the success of the website.

5. indemnity

   You release and indemnify us against all actions, claims and demands (including the cost of defending or settling any action, claim or demand) which may be instituted against us arising out of a failure by us to comply with these terms and conditions or a failure by a Supplier to complete a sale or satisfy the requirements of a sale.

   You also release and indemnify us against all actions, claims and demands (including the costs of defending or settling any action, claim or demand) which may be instituted against us arising out of any act or omission on your part, including but not limited to a failure by you to comply with your obligations under these terms and conditions.

6. your acknowledgement

You acknowledge and agree:

1. that we are not a party to any negotiations or agreements between yourself and a Supplier;
2. it is your responsibility to reach an agreement with a Supplier to purchase goods or services from such Supplier, and we are not involved in that process and we are not the agent or representative of either yourself or the Supplier in any dealing you may have with a Supplier;
3. that we do not have any involvement in the sales process between yourself and the Supplier other than by providing this facility on our website.  We do not represent Suppliers.  Unless expressly stated to the contrary, we do not endorse or have an interest in the goods which are being sold and we do not accept responsibility in the event that a transaction is not completed due to an act or omission on the part of the Supplier.  We accept no responsibility for defective goods, including the failure of any goods to correspond with the Supplier's description or samples or the failure of any goods to be of merchantable quality.  We have no control over the availability, quality, safety or legality of goods you purchase from a Supplier, we do not warrant the truth or accuracy of listings and we have no control over representations made by the Supplier;
4. we give no warranty about the veracity of the Supplier, or the goods or services the Supplier provides to you;
5. we have no liability to you in respect of any loss or damage (including indirect, special or consequential loss or damage) which may be suffered or incurred by you or which may arise directly or indirectly in respect of goods or services supplied by a Supplier who acquires your Lead from this website, or in respect of a failure or omission on the part of a Supplier to complete a sale with you;
6. in the event that you agree to purchase goods or services from a Supplier, each party will have an obligation  to complete the transaction.  This is the responsibility of you and the Supplier, not our responsibility.  If you have any doubts about the ability of the Supplier to discharge its obligations in this regard, it is your responsibility to make all necessary enquiries in advance and to take any steps which you consider to be appropriate in the circumstances;
7. that by registering as a Lead you expressly consent for your contact details which you provide to us, to be sold to a Supplier, who will contact you to negotiate with you for sale or supply of goods and services to you;
8. our fees are paid by the Supplier for your contact details, and we receive no commissions, success fees, or other payments from Suppliers other than our fee;
9. we are not responsible in the event that your Lead is not processed due to technical difficulties affecting our system;
10. we do not undertake to retain records of specific transactions; and
11. that a failure to comply with these terms and conditions entitles us to terminate your registered Lead status.  We may determine at our discretion whether such a failure has occurred.

7. disclaimer

To the extent permitted by law, any condition or warranty which would otherwise be implied into these terms and conditions is hereby excluded.  Where legislation implies any condition or warranty, and that legislation prohibits us from excluding or modifying the application of, or our liability under, any such condition or warranty, that condition or warranty will be deemed included but our liability will be limited for a breach of that condition or warranty to one or more of the following:

1. if the breach relates to goods:
   • the replacement of the goods or the supply of equivalent goods;
   • the repair of such goods;
   • the payment of the cost of replacing the goods or of acquiring equivalent goods; or
   • the payment of the cost of having the goods repaired; and
2. if the breach relates to services:
   • the supplying of the services again; or
   • the payment of the cost of having the services supplied again.

8. exception to disclaimer

This disclaimer set out in these terms and conditions does not attempt or purport to exclude liability arising under statute if, and to the extent, such liability cannot be lawfully excluded.

9. specific warnings

   You must ensure that your access to this website is not illegal or prohibited by laws which apply to you.

12. termination of access

Access to this website may be terminated at any time by us without notice.  Our disclaimer will nevertheless survive any such termination.

13. governing law

These terms and conditions are governed by the laws in force in Queensland, Australia.  You agree to submit to the exclusive jurisdiction of the courts of that jurisdiction.

14. general

    We accept no liability for any failure to comply with these terms and conditions where such failure is due to circumstances beyond our reasonable control.

    If we waive any rights available to us under these terms and conditions on one occasion, this does not mean that those rights will automatically be waived on any other occasion.

    If any of these terms and conditions are held to be invalid, unenforceable or illegal for any reason, the remaining terms and conditions shall nevertheless continue in full force.
